What was announced or recorded

On 27 June 2024, WEBTOON Entertainment Inc. priced its initial public offering at $21.00 per share for 15,000,000 shares, listing on the Nasdaq Global Select Market under the symbol WBTN, according to the company's own final prospectus filed that day. The prospectus records that NAVER U.Hub Inc. agreed on 16 June 2024 to buy $50 million of shares in a concurrent private placement, and that funds managed by BlackRock indicated interest in a further $50 million. A subsequent current report confirms the offering closed on 28 June 2024, the date the company entered a related registration rights agreement.

What the documents establish

The prospectus defines 'IP Adaptations' as 'adaptations of certain content on our offerings into other media formats such as film, streaming series, games and merchandise', and reports IP Adaptations revenue of $108.3 million for 2023, up 31.4% from $82.5 million in 2022, driven in part by a subsidiary, Studio N Corporation, that produced television and streaming adaptations including 'Sweet Home Season 2', 'Vigilante' and 'Doona!'. The document also states that WEBTOON's web-comics are 'digitally created, weekly serialized stories expressed through vertical, continuous graphical content' optimised for scrolling. Despite that vertical format and an adaptation business reported down to the million dollar, the terms 'vertical drama', 'micro-drama' and 'short drama' do not appear anywhere in the prospectus text opened for this dossier.

Announced versus delivered

What the registration statement announces is a diversified adaptation business measured in film and streaming-series deals, not a vertical-video product line. What it delivers, in numbers, is a revenue category nearly a decade in the making by the filing date, growing but still a minority of total revenue at 8.4% in 2023 against 11.3% for advertising and the majority from Paid Content. A reader who assumes a webtoon company with vertically formatted source material must also run a vertical-drama app would find no such claim, and no such product, in this specific filing.

What to watch

Editorially, the absence of vertical drama from a June 2024 filing does not rule it out afterwards; a later annual report naming a short-form video product, or a new IP Adaptations sub-category, would be the document to check for any change in that position.

  • Does 'IP Adaptations' as defined here leave room for a vertical-drama licence, or does the film-and-streaming-series framing suggest the company treats that as a separate category it has not yet entered?
  • What would a rights holder negotiating with WEBTOON need to know about the gap between its vertically scrolled source material and its television-format adaptation business?
  • Does Studio N Corporation's role in the 2023 revenue increase indicate a strategy of retaining production credit, rather than only licensing titles outward?

The filing that took WEBTOON Entertainment public in June 2024 is precise about adaptation revenue and silent about vertical drama specifically, a gap worth naming rather than assuming away when the company's core format is itself vertical.
